The Corporate clients appoint and retain “CMSPL” as their Company Secretaries either at the inception of incorporation of a Company or subsequent to the Incorporation date.

We provide Professional Services in connection with Board of Directors meetings such as preparation and maintenance of Minutes of the Meetings and call for Emergency Meetings as required by the Companies. We pass and certify Board Resolutions as and when required and CMSPL virtually organized the meetings by order of the Board.

Incorporation of Private or Public Limited Companies

We promote floatation of limited liability companies from the start of Name Approval to commencement of business operations and assist in opening Bank Accounts, obtaining Income Tax File and VAT Registrations and all other registrations on need basis.

Secretarial Services with regard to statutory compliance:

We carry-out filing of Annual Returns, Attending to Registrar of Companies filing requirements, such as appointments and resignations of Directors with the approval of the board, handling Share Allotments and Share Transfer, Filing and Registration of Share Transactions with the Inland Revenue Department in order to pay Stamp Duties as required.

Advisory and Consultancy Services

We promote foreign and local investments in viable long-tem projects and obtain approval for foreign and/or Local Investment, Concessions Incentive, Resident Visas from the Board of Investments of Sri Lanka (VOI) and other regulatory authorities.

Promotion of Foreign Direct Investments/Foreign Long-Term Loan

We act as independent business representatives and promote transaction of Foreign Direct Investments and Foreign Loans in respect of viable long-term projects in Sri Lanka and overseas.

Preparation of Project Feasibility reports and assists in Due Diligence Studies

We compile and prepare Project Feasibility Reports and arrange and assist on due diligence on investments.
